1 Acceptance of Terms

By accessing or using the Vayra Media website, booking a consultation, or engaging Vayra Media ("Agency", "we", "us") for website development, local SEO, Google Maps setup, or lead automation services, you ("Client", "User") agree to be bound by these Terms & Conditions.

If you do not agree with any part of these terms, you must refrain from utilizing our website or engaging our agency services.

2 Scope of Agency Services

Vayra Media provides specialized digital agency solutions focused on turning local businesses (clinics, gyms, salons, restaurants, retail brands, academies) into high-converting digital operations:

• High-Converting Website Development: Custom responsive web design, mobile optimization, conversion rate optimization (CRO), fast hosting integration, and SSL security.
• Google Maps & Local SEO Dominance: Google Business Profile creation/optimization, local citation building, review automation, and geo-targeted keyword ranking.
• WhatsApp AI & Lead Automation: Automated lead capture forms, WhatsApp direct response triggers, and lead management integrations.
• Branding & Creative Assets: Custom logo design, brand color palettes, visual identity kits, and social media graphics.

3 Project Timelines & 7-Day Fast Delivery

Standard website packages (Starter and Growth Stack) are delivered within 7 business days following the complete receipt of required client onboarding materials (business logo, text details, service photos, and domain access credentials).

Delays in providing required business information, text content, or feedback approvals by the client may adjust the project delivery schedule accordingly.

4 Pricing, Payment Terms & Refunds

Service packages are billed according to agreed proposal tiers (e.g., Starter Package ₹14,999, Growth Stack ₹29,999, Market Dominator ₹59,999):

• Payment Schedule: 50% upfront deposit upon contract signing to initiate design work, and the remaining 50% balance upon final staging approval prior to domain launch.
• Refund Policy: Deposit payments are non-refundable once project kickoff design mockups have been delivered. If Vayra Media fails to deliver the agreed staging site within the committed timeframe without client delay, a full refund may be issued upon request.

5 Intellectual Property & Ownership

Upon complete settlement of all project invoices, full ownership rights to the final website source code, visual design files, custom graphics, and domain configurations transfer entirely to the Client.

6 Client Responsibilities

The Client agrees to:

• Provide accurate, legally compliant text, images, trademarks, and business licensing information for inclusion on the website.
• Ensure that all provided images, videos, and branding elements do not infringe upon any third-party copyrights or intellectual property rights.
• Maintain the confidentiality of administrative credentials granted for website management post-launch.

7 Limitation of Liability

While Vayra Media employs best practices for search engine optimization, conversion design, and security, search engine algorithms (Google) and third-party platforms (WhatsApp, Meta, Web3Forms) operate independently.

Vayra Media shall not be liable for indirect, incidental, or consequential damages resulting from third-party server outages, external platform policy changes, or client modifications made to source code after project sign-off.

8 Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any legal disputes or claims arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the courts located in Gautam Buddha Nagar / Noida, Uttar Pradesh, India.

9 Modifications to Terms

Vayra Media reserves the right to modify these Terms & Conditions at any time. Updated terms will be posted on this page with a revised "Last Updated" date. Continued usage of our website or services constitutes acceptance of modified terms.
